Terms and conditions for using our website and services

These Terms of Service ("Terms") govern your access to and use of the website and services provided by PlatOps Security, LLC ("PlatOps," "we," "us," or "our"). By accessing our website or using our services, you agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL APPLICABLE LAWS AND REGULATIONS.

1. Definitions

  • "Services" refers to the security, infrastructure, cloud, DevOps, and related consulting and managed services provided by PlatOps.
  • "Website" refers to platops.com and all associated subdomains.
  • "Client" refers to any individual or entity that enters into a service agreement with PlatOps.
  • "User" refers to any individual who accesses or uses our Website.
  • "Agreement" refers to the Master Service Agreement, Statement of Work, or other written contract between PlatOps and a Client.

3. Website Use

3.1 Permitted Use

You may use our Website for lawful purposes only. You agree not to:

  • Use the Website in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Website or its systems
  • Use automated tools to scrape, crawl, or extract data from the Website without permission
  • Interfere with or disrupt the Website's operation or security
  • Transmit viruses, malware, or other harmful code

4. Services

4.1 Service Agreements

Our professional services are provided pursuant to a separate written Agreement (such as a Master Service Agreement and Statement of Work). These Terms apply to Website use and general interactions; specific service terms are governed by the applicable Agreement.

4.2 Scope of Services

Services may include, but are not limited to:

  • Security assessments and compliance consulting
  • Cloud architecture and migration services
  • DevOps and infrastructure management
  • Managed security services
  • Monitoring and observability solutions
  • Automation and process optimization

The specific scope, deliverables, and terms for any engagement will be defined in the applicable Agreement.

4.3 Professional Standards

We will perform Services in a professional and workmanlike manner, consistent with industry standards. We maintain appropriate certifications and qualifications for the services we provide.

5. Payment Terms

5.1 Fees

Fees for Services will be specified in the applicable Agreement. Our engagement models include:

  • Monthly Retainer: Fixed monthly fee for ongoing managed services
  • Project-Based: Fixed fee for defined project scope and deliverables
  • Time and Materials: Hourly or daily rates for consulting services

5.2 Payment

Unless otherwise specified in the Agreement:

  • Invoices are due Net 30 (within 30 days of invoice date)
  • Payment shall be made in US Dollars via wire transfer, ACH, or credit card
  • Late payments may incur interest at 1.5% per month or the maximum rate permitted by law

5.3 Taxes

Fees are exclusive of taxes. Client is responsible for all applicable sales, use, VAT, or other taxes, excluding taxes on PlatOps's income.

6. Intellectual Property

6.1 PlatOps Intellectual Property

PlatOps®, the PlatOps logo, and all content on this Website (including text, graphics, logos, and software) are the property of PlatOps Security, LLC or its licensors and are protected by intellectual property laws.

PlatOps® is a trademark of PlatOps Security, LLC.

You may not use, reproduce, modify, or distribute our intellectual property without prior written consent.

6.2 Client Materials

Clients retain ownership of their data, systems, and proprietary materials. By providing materials to PlatOps, Clients grant us a limited license to use such materials solely for the purpose of performing the Services.

6.3 Work Product

Ownership of work product created during an engagement will be specified in the applicable Agreement. Generally:

  • Custom deliverables created specifically for Client become Client's property upon full payment
  • Pre-existing tools, methodologies, and frameworks remain PlatOps's property
  • PlatOps retains the right to use general knowledge, skills, and experience gained during engagements

7. Confidentiality

7.1 Confidential Information

Each party agrees to maintain the confidentiality of the other party's confidential information, including but not limited to:

  • Business strategies and plans
  • Technical information and infrastructure details
  • Security findings and vulnerabilities
  • Pricing and financial information
  • Customer and employee data

7.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was known to the receiving party prior to disclosure
  • Is independently developed without use of confidential information
  • Is required to be disclosed by law (with notice where permitted)

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Professional Services are warranted only as expressly stated in the applicable Agreement.

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLATOPS SECURITY, LLC SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from third-party claims against Client
  • Damages resulting from circumstances beyond our reasonable control

8.3 Cap on Liability

Our total liability under any Agreement shall not exceed the fees paid by Client to PlatOps during the twelve (12) months preceding the claim, or $100,000, whichever is greater.

8.4 Essential Purpose

The limitations in this section apply even if any remedy fails of its essential purpose, and regardless of the theory of liability (contract, tort, strict liability, or otherwise).

9. Indemnification

You agree to indemnify and hold harmless PlatOps Security, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Website in violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your infringement of any third-party rights
  • Any misrepresentation made by you

10. Term and Termination

10.1 Term

These Terms are effective when you access our Website and remain in effect until terminated. Service Agreements have their own term provisions.

10.2 Termination

We may terminate or suspend your access to the Website immediately, without prior notice, for any reason, including breach of these Terms.

10.3 Effect of Termination

Upon termination, provisions that by their nature should survive (including intellectual property, confidentiality, limitation of liability, and indemnification) shall remain in effect.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law principles.

11.2 Jurisdiction

Any disputes arising from these Terms or Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Montgomery County, Maryland.

11.3 Informal Resolution

Before initiating any formal dispute resolution, the parties agree to attempt to resolve disputes informally by contacting us at legal@platops.com.

12. General Provisions

12.1 Entire Agreement

These Terms, together with any applicable Service Agreement, constitute the entire agreement between you and PlatOps regarding the subject matter hereof.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

12.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, strikes, or government actions.

12.6 Notices

Notices to PlatOps should be sent to legal@platops.com. We may provide notices to you via email or by posting on the Website.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Website after changes become effective constitutes acceptance of the revised Terms.
